This page is a drafting brief, not a contract, and nothing on it is in force. ⚠️ The affiliate application form cannot go live until this document has been written and published — the form cannot be submitted without accepting these terms, and an acceptance of a placeholder is an acceptance of nothing. Like the Terms of Service, it cannot be finished until the legal entity exists, because it has to name the contracting party. The text below lists what the document has to cover so the reviewed version can be dropped straight in.
Who you are contracting with
To be completed once the company is formed. The affiliate is an independent contractor and not an employee, agent or partner, and the document has to say so in those words.
What you earn
To be drafted, and to match the programme exactly as it is implemented:
- 15% of the amount the customer actually pays, per redemption. - Not recurring. A renewal earns nothing. This is the single most likely point of dispute and has to be unambiguous. - The customer receives 20% off. - A two-month cooling-off period: the same customer cannot generate a second commission inside two months of the last one. - Codes never combine with other promotions.
Payouts
To be drafted. Available above $100, requested by the affiliate, reviewed and approved by us, paid by a method and on a timetable this document has to name. It also has to cover which party bears any transfer fee, and what happens to a balance below the threshold if participation ends.
Your code
To be drafted. One code per affiliate, chosen by the affiliate, and fixed once created — the document should state that changes are at our discretion and by request, because the code is published in videos and bios and reissuing one breaks every existing mention. A revoked affiliate's code stops working immediately and is never reissued to anybody else.
What you may and may not say
To be drafted, and the part a lawyer should spend the most time on. RECAPITAL is a journaling and analytics tool. It has to be clear that an affiliate may not promise returns, present it as financial advice, describe it as a signal service, imply any official or employment relationship with RECAPITAL, or run paid advertising on our brand name. Non-compliance is grounds for ending participation and voiding unpaid commission.
Data you see about customers
To be drafted. An affiliate can see a masked form of the email address of customers who used their code, along with the date, plan and commission status — and nothing else. The document has to bind the affiliate not to attempt to re-identify, contact or market to those people on the basis of what the portal shows them.
Ending participation
To be drafted. Either side may end it. On our side the document should name the grounds — the misrepresentation rules above, fraudulent traffic, self-referral — and say what happens to pending commission in each case. Access to the portal ends immediately; records are retained as the Privacy Policy describes.
Fraud
To be drafted. Self-referral, self-clicks, bot traffic and any attempt to inflate the figures void the commission concerned and are grounds for ending participation.
Changes to these terms
To be drafted. The version accepted is recorded against the application and carried onto the affiliate's profile, so this document has to say how a change is notified and what happens if an affiliate does not accept a new version.
